1. About These Terms

These Terms of Service ("Terms") govern the use of estimating, takeoff, and consulting services provided by HYKSOS (ABN [ABN — to be inserted]) ("we", "us", "our"). By engaging our services or submitting a project brief, you agree to these Terms. If you do not agree, do not proceed.

2. Our Services

We provide construction estimating services including formwork takeoffs, bills of quantities, construction estimates, and engineering classification reports. The scope of each engagement is agreed in writing (email confirmation or quote acceptance) before work commences.

Our estimates are professional opinions based on the drawings and information provided. They do not constitute a guarantee of final contract value, construction cost, or project outcome.

3. Fees and Payment

Fees are quoted on a fixed-price, project basis before any work begins. A quote constitutes an offer; your written acceptance (including by email) constitutes a binding agreement. Invoices are issued on delivery of the agreed deliverable and are payable within 14 days unless otherwise agreed in writing.

We reserve the right to withhold delivery of estimate files until payment is received for repeat engagements where payment terms have not been met.

4. Client Obligations

You agree to:

• Provide complete, current, and accurate drawings and project information;
• Notify us promptly of any revision to drawings or scope that may affect the estimate;
• Use our estimates only for the project and purpose for which they were prepared;
• Not reproduce or distribute our estimates to third parties without our written consent.

5. Intellectual Property

All estimate documents, BOQs, and reports we produce remain our intellectual property until payment in full is received, at which point a non-exclusive licence to use the deliverables for the agreed project is granted to you. You may not resell, sublicence, or represent our work as your own.

6. Confidentiality

We treat all drawings, specifications, tender documents, and project information you provide as strictly confidential. We will not disclose your information to third parties except as required by law. This obligation survives the termination of any engagement.

7. Limitation of Liability

To the maximum extent permitted by Australian law, our total liability to you for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for any indirect, consequential, or speculative loss including loss of contract, profit, or business opportunity.

Our estimates are based on the information provided. We are not liable for errors or omissions that result from incomplete, inaccurate, or superseded drawings supplied by you.

8. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.

9. Changes to These Terms

We may update these Terms from time to time. The current version will always be published at hyksos.au/terms. Continued use of our services after any update constitutes acceptance of the revised Terms.
